Are you in Compliance With The New Michigan Nonprofit Corporation Act?

Michigan Society of Association ExecutivesThe new Michigan Nonprofit Corporation Act, passed in January of 2015, has led to misperceptions on electronic or ballot voting. This show will provide you with the knowledge you need to be in compliance.

It features Ed Castellani, J.D., C.P.A., shareholder, Fraser Trebilcock. Ed is a regular advisor to MSAE and its members. Among the issues covered are:

  • The Act allows members, not the Board of Directors to do ballot voting
  • When can you and when can you not use proxy voting
  • The requirement of an annual meeting
  • The requirement of sharing the profit and loss statement
  • What is a registered agent
  • What needs to be changed on the articles of incorporation or bylaws to accommodate the change in ballot voting
  • The three types of meetings
This should be required listening for every executive or board liaison in the association sector headquartered in Michigan.
